Harare — On September 15, 2009 the Zimbabwe Newspapers (1980) Limited board met and appointed nine directors to fill vacancies that had been created by some resignations and those retired from the board as per the company's Articles of Association.
Zimpapers acting chairman Dr Paul Chimedza said the new directors are Cde Alexander Kanengoni, Dr Munyaradzi Kereke, Dr Charles Utete, Cde Chakanyuka Karase, Retired Brigadier-General Epmarcus Walter Kanhanga, Mr Rungano Jekeso Mbire, Mr Joseph Steve Mandizha, Mr Delma Lupepe and Dr Nyasha Madzingira.
"These new members will be ratified by our shareholders at our next annual general meeting in May 2010 according to Article 57 of the Zimpapers Articles of Association," Dr Chimedza said.
It was erroneously reported last week that Media, Information and Publicity Minister Webster Shamu had made the appointments when he made similar appointments to parastatals falling under his ministry.
However, Dr Chimedza clarified that the names were sent to the minister's office for his information only.
Contacted for information on how the list got included in a wider one involving parastatal board appointments, Secretary for Media, Information and Publicity, Mr George Charamba, said: "At the time the Honourable Minister received board appointments for Zimpapers for his information, the ministry was also processing for release several board appointments for different parastatals.
"My officers included the list from Zimpapers in error. It was a mistake which we regret making," he said.
Article 55 of Zimpapers' Articles of Association says: "The number of directors shall not be less than four nor more than 11 until otherwise from time to time determined by the company in general meeting."
Articles 56 and 57 go on to say: "If the number of directors falls below the minimum stipulated in Article 55 here of, the remaining directors may act only for the purpose of filling vacancies or calling general meetings of shareholders.
"The directors shall have power at any time and from time to time to appoint any eligible person as a director either to fill a casual vacancy or as an addition to their number, but so that the total number of directors shall not at any time exceed the maximum number fixed, but any director so appointed shall hold office until the next following annual general meeting of the company and shall then be eligible for re-election."
